Please read these Terms of Service (“Terms” or “TOS”) carefully before creating an account for access to the expand.network API and all other services (collectively the “Services”) provided by expand.network Ltd. (“expand.network”, “us”, “we”, or “our”), a company incorporated in the British Virgin Islands. These Terms apply to access to and use of the Services by you, your employees, agents, and affiliates (collectively “You” or “Your”). Such access is conditioned on your acceptance of and compliance with these Terms. expand.network reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms, at any time.

Accounts

You must open an account with expand.network to access the Services. You are entirely responsible for maintaining the confidentiality of the information You hold for your account, including Your password(s), any wallet addresses and associated private keys for any wallets linked to the Services, and for any and all activity that occurs under Your account as a result of your failing to keep this information secure and confidential. You agree to notify expand.network immediately of any unauthorized use of Your account or password, or any other breach of security. expand.network reserves the right to terminate your access to the Services and any related license to such Services at any time if you violate any of the Terms.

Services and License

By accepting these Terms, expand.network grants You a limited, non-exclusive, revocable, non-transferrable, non-sublicensable, license to use the APIs and all related security keys and documentation provided by us (collectively, “API Materials”), in each case, solely for purposes of accessing and using the Services as offered at that time. expand.network may change, alter, amend, reduce, or expand the Services offered through the API, at its sole discretion. You recognize and agree that the Services are continually in development and evolving, and, as such, the Services are subject to change.

Fees

There are no fees or royalties due or payable by You to expand.network in connection with the Services offered under these Terms. expand.network reserves the right, in its sole discretion, to charge fees, royalties, or other charges in connection with the Services in the future. expand.network will give You reasonable notice of any changes to its fee schedule in connection with the Services.

Intellectual Property

expand.network reserves all title and ownership in and to the Services, including to all software and systems accessed through any API keys we provide. No rights or licenses are granted to You in connection with these Terms except as expressly stated herein. You hereby grant expand.network a royalty-free, fully paid-up, worldwide, transferable, sublicensable (through multiple tiers), irrevocable, and perpetual license to use or incorporate into the Services (in any manner whatsoever) any and all suggestions, ideas, enhancement requests, feedback, or recommendations provided by You or Your employees, agents, representatives, or affiliates relating to the features, functionality, or operation of the Services.

Use of the Services

You will not, will not attempt to, and will not authorize or assist others to:
(a) circumvent, disable or otherwise interfere with security-related features of the Services or features that enforce limitations on use of the Services;
(b) disassemble, reverse engineer, modify, translate, alter or decompile all or any portion of the Services or otherwise discern the source code of the Services, or any derivative work from the Services, except and solely to the extent permitted under applicable law;
(c) use the Services (i) on a service bureau or time sharing basis; or (ii) to provide services to third parties not in accordance with these Terms;
(d) distribute, copy, modify, duplicate, rent, lease, sublicense, assign, transmit, sell or otherwise transfer the Services or any of Your rights therein;
(e) violate or abuse password protections governing access and usage of the Services;
(f) interfere with the integrity or proper working of the Services, including but not limited to the introduction of malicious code, viruses, or other harmful material;
(g) use the Services in any unlawful manner or otherwise in breach of these Terms;
(h) delete, remove, obscure or in any manner alter the copyright, trademark, and other intellectual property rights notices in favor of expand.network or any other third party appearing on or in the Services or any component thereof;
(i) use the Services in order to conduct any comparisons, competitive analysis, penetration testing, vulnerability assessment, aimed identified security vulnerability, or other benchmarking activities, either alone or in connection with any other Services or hardware without the prior written consent of expand.network;
(j) use the Services other than as permitted herein; and/or
(k) use expand.network’s name and logo without our prior written approval.

Warranty Disclaimer

ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SATISFACTORY QUALITY, ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE, OR OTHERWISE, ARE HEREBY EXCLUDED AND DISCLAIMED TO THE EXTENT ALLOWED BY APPLICABLE LAW. expand.network is not responsible for any reliance by You on the Services and expand.network shall not be liable for any damage resulting from inaccuracy, incorrectness, unsoundness, and/or unreliability of the Services or any results thereof.

General

Liability TO THE EXTENT ALLOWED BY APPLICABLE LAW, EXPAND.NETWORK, ITS AFFILIATES, AND THEIR THIRD PARTY LICENSORS SHALL HAVE NO LIABILITY WHATSOEVER RELATING TO THE SERVICES OR THIS AGREEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IN NO EVENT WHATSOEVER SHALL EXPAND.NETWORK, ITS AFFILIATES, OR THEIR THIRD PARTY LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, BUSINESS INTERRUPTION LOSSES OR LOST TIME OR GOOD WILL, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE.

Entire Agreement. These Terms constitute the entire agreement between You and expand.network with regard to its subject matter and supersedes any prior or inconsistent agreements, promises, proposals, negotiations, representations, understandings, written or oral.

Binding Authority. For any account holder that is not an individual, the individual accepting these Terms represents that s/he has been duly authorized to accept these Terms on behalf of the corporate or non-natural person holding the account.

Governing Law. These Terms, their subject matter, and Your and our respective rights and obligations hereunder shall be governed by and construed and enforced in accordance with the laws of the State of New York, without giving effect to principles regarding conflict of laws. expand.network hereby irrevocably consents to the jurisdiction of the courts of the State of New York and of any federal court located in such State in connection with any action or proceeding arising out of or relating to this Agreement, or its subject matter, any document or instrument delivered pursuant to, or a breach of this Agreement or any such document or instrument. You hereby waive any objection to personal jurisdiction, improper venue or forum non conveniens in any such action or proceeding.
